AlternaDev Sales Tax Filing Terms of Service

Effective Date September 12, 2026

These Terms of Service ("Terms") govern access to and use of the sales tax return preparation, filing, and payment services provided by AlternaDev , Inc ("AlternaDev," "Company," "we," "us," or "our"). The person or business using the Service is referred to as "Customer" or "you."

By creating an account, accepting these Terms electronically, or using the Service, Customer agrees to these Terms. If Customer does not agree, Customer must not use the Service.

1 Service Description

AlternaDev connects to supported point-of-sale, payment, and tax-agency systems; obtains available transaction and account information; prepares sales tax returns; provides filing notices for Customer review; submits authorized returns; and initiates or facilitates associated tax payments.

The specific states, accounts, filing periods, integrations, and services included for Customer are those shown during signup, in the Service, or in a separate order or written agreement. Features and supported jurisdictions may change as the Service develops.

Unless separately agreed in writing, the Service does not include tax registrations, nexus studies, historical filings, voluntary disclosure agreements, audits, bookkeeping, legal advice, tax advice, or responses to agency matters unrelated to returns handled by AlternaDev.

2 No Legal or Tax Advice

AlternaDev provides a technology-enabled compliance service and does not act as Customer’s attorney, certified public accountant, or independent tax adviser. Information provided through the Service is not legal, accounting, or tax advice. Customer remains responsible for its business decisions, tax positions, registrations, collection practices, and compliance obligations except for the filing responsibilities expressly accepted by AlternaDev under these Terms.

3 Customer Accounts and Authority

Customer must provide accurate, complete, and current registration and business information and must safeguard its account credentials. Customer is responsible for activity performed through its account and must promptly notify AlternaDev of suspected unauthorized access.

Customer represents that it has authority to bind the business identified in its account and to authorize AlternaDev to access connected systems, retrieve filing data, prepare and submit returns, and initiate or facilitate authorized tax payments. Customer authorizes AlternaDev and its service providers to take those actions solely as reasonably necessary to provide the Service.

4 Data Connections and Filing Information

Customer must maintain authenticated and functioning connections to all required point-of-sale, payment-provider, bank, and tax-agency systems. Customer must promptly restore any interrupted connection or provide the required information through a method approved by AlternaDev.

Filing data is considered available only when the applicable systems contain complete and finalized transaction records for the filing period and those records are accessible to AlternaDev through the required connection by 11:59 p.m. Arizona time on the fifth calendar day following the end of the filing period.

AlternaDev will not prepare or file a return using estimated or incomplete data. If required data is unavailable, incomplete, inaccurate, inaccessible, or received after the fifth calendar day, the Filing Guarantee does not apply to any resulting delay, penalty, or interest. AlternaDev will prepare and file the return as soon as reasonably possible after all required data becomes available.

The Filing Guarantee does not apply to delays caused by expired credentials, revoked permissions, incomplete or unfinalized records, Customer configuration, or a failure of Customer’s third-party systems. This exclusion does not apply when the data was timely accessible and the delay was caused solely by AlternaDev.

5 Filing Notice and Standing Authorization

After preparing a return, AlternaDev will email Customer a filing notice stating the prepared return amount and expected tax payment. The notice will be sent to the email address maintained in Customer’s account.

Customer has 48 hours after the filing notice is sent to report an error, request a change, or instruct AlternaDev not to file. If Customer does not respond within that 48-hour period, Customer authorizes AlternaDev to submit the return and initiate or facilitate the stated tax payment under Customer’s standing authorization.

Customer agrees that acceptance of these Terms constitutes continuing authorization for this notice-and-filing process. Customer must maintain a current email address and monitor filing communications. An instruction not to file applies only to the identified return unless Customer separately cancels the Service.

6 Corrections and Customer Changes

If Customer reports an error caused by AlternaDev within the 48-hour review period, AlternaDev will correct the return without an additional service fee and remains responsible for timely filing under the Filing Guarantee.

If Customer requests a change that is not caused by an AlternaDev error, including a change based on new, corrected, or previously omitted Customer information, AlternaDev will use commercially reasonable efforts to update and timely file the return. The Filing Guarantee does not cover penalties or interest caused by that request, the underlying information, or the resulting delay.

If a revised return amount exceeds the amount stated in the filing notice, AlternaDev will provide a revised notice before initiating the higher payment. AlternaDev may proceed without a new review period when the final amount is lower than the amount previously stated.

AlternaDev will correct its own errors discovered after filing without an additional service fee. An amended return or other corrective work required because of Customer information or instructions may be subject to an additional fee disclosed before the work begins.

7 Service Fees

Service fees and billing frequency are disclosed during signup, in the Service, or in an applicable order. Prices are not fixed by these Terms and may vary based on states, filing periods, accounts, integrations, or additional services. AlternaDev may change future pricing upon reasonable notice.

Service fees are automatically charged on or about the fifth calendar day following the end of each filing period. AlternaDev is not obligated to retrieve final filing data, prepare a return, or submit a filing unless the applicable service-fee payment has been successfully authorized and is not past due. If the payment is declined, disputed, reversed, or otherwise unpaid, AlternaDev may suspend work immediately, and the Filing Guarantee will not apply to any resulting delay, penalty, or interest. AlternaDev will resume service as soon as reasonably possible after payment is received, subject to the time reasonably required to complete the filing.

Except where required by law or expressly stated otherwise, fees are nonrefundable after AlternaDev has prepared the applicable return.

8 Tax Payments

Customer remains responsible for all taxes shown on its returns and for maintaining valid payment information, payment authorization, and sufficient funds for each tax payment.

AlternaDev may file a return after initiating or scheduling the authorized tax payment and cannot verify Customer’s available bank balance. AlternaDev is not responsible when a tax payment is rejected, returned, reversed, delayed, or otherwise fails because of insufficient funds, inaccurate banking information, account restrictions, revoked authorization, or an act or omission of Customer or its financial institution. The Filing Guarantee does not cover resulting penalties, interest, bank fees, or other charges.

If valid payment information or authorization is unavailable before filing, AlternaDev may decline to file until the issue is resolved.

9 Filing Guarantee

Subject to these Terms, AlternaDev will reimburse penalties and interest directly caused by AlternaDev’s failure to timely and accurately file a return that AlternaDev agreed to handle.

The Filing Guarantee applies only when Customer has timely satisfied all responsibilities under these Terms, including maintaining required connections and access, making complete and accurate data available by the fifth calendar day, paying all service fees, maintaining valid tax-payment authorization, responding to requests, and timely providing agency notices.

The Filing Guarantee does not cover the underlying tax, lost filing or payment discounts, bank charges, indirect losses, or penalties and interest caused or increased by Customer data, Customer instructions, customer-requested changes, insufficient funds, rejected or reversed payments, third-party failures, government-system issues, or events outside AlternaDev’s reasonable control.

Before reimbursement is required, Customer must allow AlternaDev a reasonable opportunity to investigate, correct the matter, communicate with the agency, and request waiver or abatement of penalties or interest.

10 Agency Notices

Customer must provide AlternaDev with any agency notice relating to a return or payment handled by AlternaDev within five calendar days after Customer receives it. Customer must provide requested information and reasonably cooperate with correction, response, and penalty-abatement efforts.

The Filing Guarantee does not cover any amount caused or increased by Customer’s delayed notice, failure to provide information, or failure to cooperate. Unless separately agreed, AlternaDev is not responsible for audits, historical periods, registrations, or notices unrelated to returns handled through the Service.

11 Third Party and Government Systems

The Service depends on systems operated by tax agencies, point-of-sale providers, payment processors, financial institutions, internet providers, and other third parties. AlternaDev does not control those systems and is not responsible for their outages, errors, security restrictions, processing delays, rejected submissions, or changes.

When a third-party or government-system issue affects a filing or payment, AlternaDev will use commercially reasonable efforts to complete the affected work as soon as reasonably possible after the issue is resolved.

12 Customer Records and Data

Customer retains ownership of its data. Customer grants AlternaDev a limited license to access, receive, store, process, transmit, and use Customer data as reasonably necessary to provide, secure, support, and improve the Service and to comply with law.

AlternaDev may create and use aggregated or deidentified information that does not reasonably identify Customer or any individual for analytics, security, product improvement, and business operations.

Following cancellation or termination, Customer will have at least 60 days to download available returns and filing records, unless access must be restricted for security, legal, or nonpayment reasons. AlternaDev may retain records as reasonably necessary for legal, regulatory, security, backup, and legitimate business purposes.

13 Confidentiality and Security

AlternaDev will use commercially reasonable administrative, technical, and organizational safeguards designed to protect Customer data against unauthorized access, use, alteration, or disclosure.

AlternaDev may disclose Customer data to its employees, contractors, service providers, tax agencies, payment providers, financial institutions, and other third parties only as reasonably necessary to provide the Service, comply with law, enforce these Terms, or protect the rights and security of AlternaDev, Customer, or others. Persons processing Customer data on AlternaDev’s behalf must be subject to appropriate confidentiality obligations.

Customer acknowledges that no system or method of transmission or storage is completely secure. Customer must use reasonable safeguards for its own accounts, credentials, systems, and communications and must promptly notify AlternaDev of suspected unauthorized access affecting the Service. Additional information about AlternaDev’s collection and use of personal information is provided in its Privacy Policy.

14 Acceptable Use

Customer may not use the Service unlawfully; provide information Customer is not authorized to provide; interfere with or overload the Service; bypass access controls; attempt unauthorized access; introduce malicious code; scrape or reverse engineer the Service except where applicable law prohibits restriction; impersonate another person or business; or use the Service to facilitate fraud or evasion.

AlternaDev may suspend or terminate access reasonably believed to violate this section or threaten the Service, another user, or a third party.

15 Intellectual Property

AlternaDev and its licensors own the Service and all related software, workflows, interfaces, documentation, and materials, excluding Customer data. Subject to these Terms and payment of applicable fees, AlternaDev grants Customer a limited, nonexclusive, nontransferable, and revocable right to use the Service for Customer’s internal business purposes during the subscription term.

Customer may not copy, resell, sublicense, redistribute, or create derivative works from the Service except as expressly permitted in writing or required by applicable law.

16 Disclaimer of Warranties

EXCEPT FOR THE EXPRESS FILING GUARANTEE IN THESE TERMS, THE SERVICE IS PROVIDED AS IS AND AS AVAILABLE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALTERNADEV DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ALTERNADEV DOES NOT WARRANT THAT THE SERVICE OR ANY THIRD-PARTY SYSTEM WILL BE UNINTERRUPTED, ERROR-FREE, OR AVAILABLE AT ALL TIMES.

17 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALTERNADEV’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE, INCLUDING ANY REIMBURSEMENT OF PENALTIES OR INTEREST UNDER THE FILING GUARANTEE, WILL NOT EXCEED THE FILING-SERVICE FEES PAID BY CUSTOMER DURING THE 180 DAYS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALTERNADEV WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA; BUSINESS INTERRUPTION; THE UNDERLYING TAX; OR PENALTIES, INTEREST, FINES, OR OTHER AMOUNTS EXCLUDED FROM THE FILING GUARANTEE, EVEN IF ADVISED THAT SUCH DAMAGES MAY OCCUR.

Nothing in these Terms limits liability that cannot lawfully be limited or excluded.

18 Indemnification

Customer will defend, indemnify, and hold harmless AlternaDev and its officers, directors, employees, contractors, and agents from third-party claims, damages, liabilities, costs, and reasonable attorneys’ fees arising from Customer’s unlawful use of the Service, breach of these Terms, inaccurate or unauthorized Customer data, infringement of third-party rights, or business and compliance decisions outside the responsibilities expressly accepted by AlternaDev.

19 Suspension Cancellation and Termination

Customer may cancel the Service through the available account process or by contacting AlternaDev. AlternaDev may suspend or terminate the Service for nonpayment, security risk, unlawful conduct, breach of these Terms, loss of required access, or discontinuation of the Service.

If a filing period ended and the related return was prepared and authorized before cancellation, AlternaDev may complete that filing if the applicable service fee has been paid and the required data, access, payment authorization, and cooperation remain available. AlternaDev is not obligated to handle filing periods ending after cancellation.

Provisions that by their nature should survive termination will survive, including payment obligations, intellectual property provisions, disclaimers, limitations of liability, indemnification, record-retention rights, and dispute provisions.

20 Electronic Communications

Customer consents to receiving agreements, filing notices, approvals, disclosures, tax documents, and other Service communications electronically, including by email. Electronic communications satisfy any requirement that a communication be in writing to the extent permitted by law. Customer must keep its contact information current.

21 Changes to the Service and Terms

AlternaDev may modify the Service and may update these Terms. Material changes will be communicated through the Service, by email, or by posting an updated version with a new effective date. Continued use after the effective date of updated Terms constitutes acceptance, except where applicable law requires additional consent.

22 Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles. The state and federal courts located in Arizona will have exclusive jurisdiction over disputes arising from these Terms or the Service, and each party consents to their jurisdiction and venue.

23 General Terms

These Terms, together with any applicable order, privacy notice, and written service-specific terms, constitute the entire agreement concerning the Service and supersede prior discussions on that subject. If an order expressly conflicts with these Terms, the order controls for the services covered by that order.

Customer may not assign these Terms without AlternaDev’s prior written consent. AlternaDev may assign them in connection with a merger, reorganization, sale of assets, financing, or transfer of the Service. A failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue in effect. Headings are for convenience only.
